Terms and Conditions of Use

1. Parties

This document constitutes a legal agreement between Sergio Luis Ontiveros Valladares (hereinafter "The Provider"), owner of the LegalCRM software, and the individual or legal entity contracting the service (hereinafter "The Client"), subject to the following clauses.

2. Acceptance of Terms

By accessing and using the LegalCRM system, The Client acknowledges that they have read, understood, and expressly agreed to these Terms and Conditions. If The Client does not agree with any of them, they may not use the system.

3. Intellectual Property

The source code, architecture, design, algorithms, technical documentation, and any other components of the LegalCRM software are the exclusive property of Sergio Luis Ontiveros Valladares. The Client acknowledges that:

  • They are granted a limited, revocable, non-exclusive license to use.
  • They acquire no ownership rights over the software.
  • They may not copy, modify, decompile, reverse engineer, distribute, or create derivative works of the software.
  • They may not assign, sublicense, or transfer their usage rights to third parties without Sergio Luis Ontiveros Valladares' written authorization.
  • The "LegalCRM" name and its logo are registered trademarks of Sergio Luis Ontiveros Valladares.

4. Rental Model

The service is provided under a monthly rental (SaaS) model, meaning:

  • The Client pays a periodic fee for the use of the system.
  • Payment does not constitute a purchase of the software, but rather consideration for the right to use it during the corresponding period.
  • Payment suspension results in immediate suspension of access to the system.

5. Billing and Calculation

5.1 Cut-off period: The billing cycle closes on the last day of each calendar month.

5.2 Calculation basis: The invoice amount is calculated by multiplying $55.00 USD (fifty-five US dollars) by the number of active users registered in the system at the time of cut-off.

5.3 Active users: An "active user" is any user account created in the system with an "active" status at the time of cut-off, regardless of whether they have logged in during the period.

5.4 Payment date: Payment must be made starting from the 1st day of each month, with 5 (five) calendar grace days to make payment without penalty.

5.5 Default: After the grace period has elapsed without receipt of payment, The Provider reserves the right to suspend access to the system without prior notice.

6. Users and Responsibilities

6.1 Credentials: The Client is responsible for maintaining the confidentiality of their users' access credentials.

6.2 Activities: The Client is solely responsible for the information entered into the system, the activities carried out by their users, and compliance with applicable laws.

6.3 End users: The Client acknowledges that the system's end users are employees or collaborators under their responsibility.

7. Confidentiality and Privacy

The Provider commits to:

  • Not disclosing the information stored by The Client in the system.
  • Implementing reasonable security measures to protect data.
  • Not using The Client's data for purposes other than providing the service.

8. Service Availability

The Provider will make its best efforts to keep the service operational but does not guarantee 100% availability due to scheduled maintenance, technical failures beyond its control, or force majeure events.

9. Term and Termination

9.1 Term: These terms remain in effect as long as The Client has an active account in the system.

9.2 Termination: The Provider may terminate the service immediately if:

  • The Client fails to make payment after the grace period.
  • The Client violates any of the intellectual property clauses.
  • The Client uses the system for unlawful purposes.

9.3 Cancellation: The Client may request account cancellation at any time. Data will be retained for 30 business days after cancellation for recovery purposes.

10. Limitation of Liability

The Provider shall not be liable for indirect damages, data loss, lost profits, or business interruption arising from the use or inability to use the system, even if advised of the possibility of such damages.

11. Modifications

The Provider reserves the right to modify these terms at any time. Changes will be notified through the system and will require re-acceptance by The Client to continue using the service.

12. Jurisdiction

These terms are governed by the applicable laws in the jurisdiction where The Provider is established. For any dispute, the parties submit to the competent courts of said jurisdiction.
